With 70% of the bonus on operating profit, the company should:

  1. Hold the expense line into year-end and let the exchange and data businesses compound. Watch the adjusted operating margin each quarter and what "adjusted" excludes if the gap to GAAP widens past $1.1 billion.
  2. Keep taking minority stakes, not making acquisitions. The Polymarket investment was named in the CEO's own goals and scores in the subjective element without the integration costs an acquisition would drag into future GAAP numbers. Watch for more stakes over deals.
  3. Put mortgage technology into next year's named metrics. Its turnaround is the obvious candidate for the 2026 goal sheet, and what the board chooses to measure is what management will fix. Watch the next proxy's metric list.

The Tell

The completed stock cycles are the tell: 80%, 122.8%, and 168% across three awards, tracking exactly where ICE finished against the index each time. Add the 0% discretion in 2025 and the mid-year deal exclusion, and this is a board that lets the formula speak.

The insider tape shows routine mechanics: the CFO sold 2,491 shares near $156, the technology chief exercised decade-old options at $57 and $67 and sold portions near $150. No open-market buying, no size selling. Sprecher founded ICE in 2000 and his stake dwarfs his pay; the alignment is the holding, not the bonus.

The Verdict: Green

A profit-weighted formula the committee did not override, a rule that stops deals from buying bonuses, three-year cliffs with real spread, double-trigger severance, no tax gross-ups, and a stock modifier currently punishing rather than paying. The one mark against it is the 85% floor, which makes the bonus a salary with upside rather than a bet. At ICE the scoreboard is honest; it is just generous at the bottom, so read the bonus line accordingly: it tells you how good the year was, never how bad.
